Predicting Alpha provides a research platform and software tools designed to display and monitor a systematic model portfolio derived from quantitative research.

The Service may include, but is not limited to:

• model portfolio allocations
• signals indicating portfolio adjustments
• dashboards and monitoring tools
• alerts and notifications
• performance reporting
• research documentation
• educational content and courses

The platform displays the trades required to replicate the model portfolio.

Users may choose whether or not to replicate the model portfolio within their own brokerage accounts.

Predicting Alpha does not execute trades, does not manage client assets, and does not have access to user brokerage accounts.

Access to the Service requires a paid subscription.

Subscription fees will be disclosed at the time of purchase.

Subscriptions renew automatically unless cancelled before the next billing cycle.

Users are responsible for managing their subscription and cancellation.

Failure to cancel before renewal will result in the next billing cycle being charged.

Predicting Alpha offers a 7-day money-back guarantee for new subscriptions.

Refund requests must be submitted within seven (7) days of the initial purchase date.

After this period, all payments are final and non-refundable.

Subscription renewals are not eligible for refunds.

The portfolio displayed on the platform represents a model portfolio derived from systematic research.

Signals, allocations, and trade adjustments shown within the platform reflect changes to that model portfolio.

Users may choose whether or not to replicate the model portfolio within their own brokerage accounts.

Predicting Alpha does not monitor or manage any individual user account.

The model portfolio is provided for informational and research purposes only. Users are solely responsible for any investment decisions and for any trades executed in their own brokerage accounts.

Predicting Alpha does not provide personalized investment advice, financial planning services, or portfolio management.

The Service provides access to a model portfolio and research outputs generated from systematic methods.

Nothing contained within the Service should be interpreted as individualized financial advice tailored to any specific user.

Users should not rely solely on the information provided by the Service when making investment decisions and should conduct their own research or consult a qualified financial professional.

Users remain solely responsible for evaluating whether the model portfolio is appropriate for their own financial circumstances.

You acknowledge and agree that you are solely responsible for all investment decisions, trading activity, and financial outcomes arising from your use of the Service.

Without limitation, you are solely responsible for:

• determining whether to replicate the model portfolio, in whole or in part
• evaluating the suitability of any strategy, signal, or allocation for your individual financial circumstances
• executing, modifying, or refraining from executing any trades
• the timing, pricing, and accuracy of all trade executions
• managing your brokerage accounts, capital allocation, and risk exposure

You further acknowledge and agree that:

• you are acting independently and not in reliance on Predicting Alpha for investment advice or recommendations
• the Service does not take into account your personal financial situation, investment objectives, or risk tolerance
• any decision to follow, replicate, or deviate from the model portfolio is made solely at your own discretion

Successful replication of the model portfolio depends on numerous factors, including but not limited to consistent and accurate execution by the user. However, even where the model portfolio is followed precisely, actual results may differ materially from any displayed Performance Data due to market conditions, execution factors, and other variables beyond Predicting Alpha’s control.

All trades executed by you are made entirely at your own risk. Predicting Alpha does not assume any responsibility or liability for any trading decisions, actions taken, or results achieved by users.

Investing in financial markets involves substantial risk.

All investment strategies involve the potential for loss, including loss of principal.

The strategies presented through the Service may experience periods of underperformance or loss.

Users acknowledge that they understand and accept the risks associated with investing.

The Service may display historical performance data, model portfolio performance, hypothetical performance results, and/or simulated backtest results (collectively, “Performance Data”).

All Performance Data is provided for informational and illustrative purposes only.

Certain Performance Data may be derived from backtesting or simulation using historical market data. Such results are hypothetical in nature and are not based on actual trading accounts. Hypothetical or simulated performance results have inherent limitations and do not represent actual trading results.

Hypothetical or simulated performance results have inherent limitations, including but not limited to:

• are prepared with the benefit of hindsight
• do not reflect the impact of real market conditions, including liquidity constraints, market impact, or changing market dynamics
• do not account for the financial risk of actual trading, including the ability to withstand losses or adhere to a strategy during periods of drawdown
• may reflect the application of models, assumptions, or parameters that were selected with knowledge of historical outcomes
• may not accurately reflect the effect of transaction costs, slippage, taxes, or execution timing

The model portfolio represents a systematic framework that users may choose to replicate. However, actual results will vary materially from the Performance Data based on factors including, but not limited to:

• differences in execution timing
• failure to fully or accurately follow model signals
• brokerage-specific constraints or costs
• individual capital allocation decisions
• market conditions not captured in historical data

No representation or warranty is made that any user will achieve results similar to those shown.

Users acknowledge and agree that:

• Performance Data is provided for informational purposes only
• past performance is not indicative of future results
• successful replication of the model portfolio requires consistent and accurate execution by the user
• all investment decisions and trade executions are made solely by the user

Predicting Alpha does not guarantee any specific financial outcome and assumes no responsibility or liability for any gains or losses incurred by users.

The Service may display signals, alerts, or notifications reflecting adjustments to the model portfolio (“Signals”).

Signals are generated based on internal calculations, data inputs, and predefined rules, and are provided for informational purposes only.

Predicting Alpha does not guarantee that any Signal will be delivered, displayed, or received in real time or without delay.

Signal delivery and timing may be affected by factors including, but not limited to:

• system processing delays
• third-party data delays or errors
• internet connectivity issues
• device limitations or notification settings
• platform maintenance or outages

Users acknowledge and agree that:

• Signals may be delayed, incomplete, inaccurate, or not delivered at all
• any delay or failure in Signal delivery may materially impact trading outcomes
• timing differences between the model portfolio and actual execution may result in materially different performance

Users are solely responsible for:

• monitoring the Service
• determining whether and when to execute any trade
• ensuring timely execution of trades

Predicting Alpha assumes no responsibility or liability for any losses or outcomes resulting from delayed, missed, or inaccurate Signals, or from any failure by the user to act upon Signals.

Predicting Alpha may allow users to receive SMS notifications related to their account, portfolio alerts, rebalancing prompts, model portfolio updates, and other service-related notifications.

By providing your mobile number and opting in, you agree to receive recurring SMS messages from Predicting Alpha. Message frequency may vary. Message and data rates may apply.

You may opt out at any time by replying STOP to any SMS message. For help, reply HELP or contact us at support@predictingalpha.com.

SMS notifications are provided as a convenience and may not always be delivered, received, or read on time. Delivery may be affected by mobile carriers, network issues, device settings, incorrect contact information, or other factors outside our control. Carriers are not liable for delayed or undelivered messages.

You remain responsible for monitoring your account and the Predicting Alpha platform. Predicting Alpha is not responsible for any loss, missed notification, trading error, or other consequence resulting from delayed, failed, or undelivered SMS messages.

The Service relies on market data obtained from third-party data providers.

Predicting Alpha does not guarantee the accuracy, completeness, or timeliness of any data used by the platform.

Market data errors, delays, or omissions may occur.

Predicting Alpha is not responsible for any losses resulting from inaccurate, delayed, or incomplete data.

The Service relies on software systems, algorithms, automated calculations, and third-party integrations.

While reasonable efforts are made to maintain the accuracy and functionality of the Service, Predicting Alpha does not guarantee that the Service will be free from errors, defects, or inaccuracies.

The Service may, at any time:

• produce incorrect, incomplete, or misleading outputs
• generate inaccurate Signals, portfolio allocations, or calculations
• experience bugs, defects, or unintended behavior
• display incorrect data or fail to update properly

Users acknowledge and agree that:

• all outputs of the Service must be independently reviewed and verified by the user before acting upon them
• reliance on the Service without independent verification is at the user’s own risk
• software errors or system failures may materially impact trading decisions and outcomes

Predicting Alpha shall not be liable for any losses or damages arising from:

• errors in calculations or outputs
• incorrect Signals or portfolio data
• system malfunctions or software defects
• failures of third-party services or integrations

The Service may be temporarily unavailable due to:

• maintenance
• software updates
• technical failures
• Internet outages
• third-party service interruptions

Predicting Alpha does not guarantee uninterrupted access to the platform.

All content, materials, and information made available through the Service are the exclusive property of Predicting Alpha Inc. and are protected by applicable intellectual property laws.

This includes, without limitation:

• model portfolio strategies
• signals, alerts, and trade instructions
• portfolio construction methodologies
• software systems and algorithms
• research materials and documentation
• educational content
• visualizations, data, and outputs

The Service is provided solely for the user’s personal, non-commercial use.

Users shall not, directly or indirectly:

• reproduce, distribute, publish, or publicly display any portion of the Service
• share, transmit, or disseminate signals, alerts, or trade instructions to any third party
• post or distribute Service outputs in any group setting, including but not limited to Discord, Telegram, social media platforms, forums, or private communities
• resell, sublicense, or otherwise commercialize any portion of the Service
• create derivative works based on the Service or its outputs
• use the Service or its outputs for the benefit of any third party or business

Any unauthorized use, reproduction, or distribution of the Service or its outputs constitutes a material breach of these Terms.

Users acknowledge that the unauthorized sharing or redistribution of signals, alerts, or proprietary content would cause substantial harm to Predicting Alpha, the extent of which would be difficult to quantify.

Accordingly, in the event of any breach of this Section, the user agrees that Predicting Alpha shall be entitled to liquidated damages in an amount of one hundred thousand Canadian dollars (CAD $100,000) per violation, or such greater amount as may be proven in a court or arbitration proceeding, in addition to any other remedies available at law or in equity.

Users further agree that Predicting Alpha shall be entitled to seek immediate injunctive or equitable relief, without the requirement to post bond, to prevent or restrain any unauthorized use or disclosure of its intellectual property.

This Section shall survive termination of these Terms and the user’s access to the Service.

Users may be required to create an account to access certain portions of the Service.

Users are responsible for maintaining the confidentiality of their login credentials.

Users are responsible for all activity occurring under their account.

Predicting Alpha reserves the right to suspend or terminate accounts that violate these Terms.

Users agree not to:

• redistribute platform signals
• reproduce proprietary research
• reverse engineer platform software
• interfere with the platform’s operation

Predicting Alpha reserves the right to terminate accounts that violate these terms.

The Service is provided on an “as is” and “as available” basis, without any representations, warranties, or guarantees of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, Predicting Alpha expressly disclaims all warranties, including but not limited to:

• any implied warranties of merchantability
• fitness for a particular purpose
• non-infringement
• accuracy, completeness, or reliability of any information or data
• uninterrupted or error-free operation of the Service

Predicting Alpha does not warrant that:

• the Service will meet the user’s expectations or requirements
• the model portfolio or any strategy will be profitable
• signals, alerts, or calculations will be accurate or timely
• the Service will operate without delays, interruptions, or errors

Users acknowledge that the Service involves the use of complex systems, third-party data, and market inputs, all of which may be subject to errors, delays, or inaccuracies.

To the maximum extent permitted by law, in no event shall Predicting Alpha, its directors, officers, employees, contractors, or affiliates be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:

• the use or inability to use the Service
• reliance on any signals, alerts, or Performance Data
• trading losses, investment losses, or lost profits
• errors, inaccuracies, or omissions in data or calculations
• delays or failures in signal delivery
• system outages, interruptions, or technical failures
• acts or omissions of third-party service providers

This limitation of liability applies regardless of the legal theory asserted, whether in contract, tort (including negligence), strict liability, or otherwise, even if Predicting Alpha has been advised of the possibility of such damages.

In all circumstances, Predicting Alpha’s total cumulative liability to any user for any and all claims arising out of or relating to the Service shall not exceed the total amount of subscription fees paid by the user to Predicting Alpha during the twelve (12) months immediately preceding the event giving rise to the claim.

Users acknowledge and agree that the limitations of liability set forth in these Terms are a fundamental basis of the agreement between the parties and that Predicting Alpha would not provide the Service without such limitations.

Users agree to indemnify and hold harmless Predicting Alpha from any claims, damages, or losses arising from their use of the Service or violation of these Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada.

Any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the Service, or the relationship between you and Predicting Alpha, including without limitation any dispute regarding the validity, interpretation, enforceability, or breach of these Terms (collectively, “Disputes”), shall be resolved exclusively through final and binding arbitration.

The arbitration shall be conducted in Toronto, Ontario, Canada, unless otherwise required by applicable law, and shall be administered by a recognized arbitration body in accordance with its applicable rules. The arbitration shall be conducted by a single arbitrator.

You agree that arbitration shall be the sole and exclusive method of resolving any Dispute, and you waive any right to commence or participate in any court proceeding, except for the limited purpose of enforcing an arbitration award or seeking injunctive relief as permitted by law.

To the fullest extent permitted by applicable law:

• You agree to waive any right to a trial by judge or jury
• You agree to waive any right to participate in a class action, class arbitration, or representative proceeding
• All Disputes shall be brought solely in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding

The arbitrator shall have exclusive authority to resolve any Dispute, including any question regarding the arbitrability of a claim or the enforceability of this arbitration provision.

Notwithstanding the foregoing, Predicting Alpha reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or proprietary rights.

This arbitration provision shall survive termination of these Terms and your use of the Service.

You acknowledge and agree that Predicting Alpha is not acting as an investment advisor, portfolio manager, broker, fiduciary, or in any similar capacity.

Nothing in these Terms or in the Service shall be construed as creating any fiduciary, advisory, or agency relationship between you and Predicting Alpha.

Predicting Alpha does not owe you any duty of care, duty of loyalty, or any other fiduciary obligation. The Service is provided solely as a research and informational tool, and all decisions regarding whether and how to use the Service are made solely by you.

You acknowledge that:

• you are acting independently and not relying on Predicting Alpha for investment advice or recommendations
• you are solely responsible for evaluating the suitability of any strategy, signal, or portfolio for your individual circumstances
• Predicting Alpha does not monitor your financial situation, investment objectives, or risk tolerance

No communication or information provided through the Service shall be deemed to constitute a recommendation, solicitation, or offer to buy or sell any security.

You further acknowledge that any similarity between the model portfolio and your own trading activity is the result of your independent decision to replicate the model, and not the result of any discretionary management or control by Predicting Alpha.

Predicting Alpha reserves the right to modify these Terms at any time.

Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
